These Terms & Conditions ("Terms") govern your access to and use of our website, digital products, creative assets, and professional services.

By accessing our website, placing an order, downloading our products, or engaging our services, you agree to these Terms.

If you do not agree, please discontinue use of our website and services.

3. Digital Product Purchases

All digital products are delivered electronically unless otherwise specified.

Following successful payment, customers will receive access to purchased products through a download link, email, or designated third-party platform.

Customers are responsible for providing accurate contact information and ensuring they have the software and technical capabilities required to access and use purchased products.

Certain products may require third-party software, including Figma or other design applications.

Unless expressly stated, purchases do not include subscriptions to third-party software, custom design services, or ongoing technical assistance.

We reserve the right to correct pricing or product-description errors and to cancel or refund orders affected by material errors, as permitted by applicable law.

4. Digital Product License

Unless a product page expressly specifies different license terms, purchasing a Carbon Source digital product grants the purchaser a limited, non-exclusive, non-transferable, worldwide license to use and customize that product for personal or commercial purposes, subject to these Terms.

Permitted Uses

Customers may:

  • Edit and customize purchased templates for their own projects, businesses, or brands.

  • Use customized designs in social media posts, email campaigns, websites, presentations, advertising, and other marketing materials.

  • Export completed designs for digital or print use.

  • Use purchased templates to create finished marketing materials for clients, provided the original editable template files are not transferred or redistributed.

  • Reuse templates across multiple projects or brands operated by the purchaser, unless a product-specific license states otherwise.

Prohibited Uses

Customers may not:

  • Resell, redistribute, sublicense, share, or give away original or modified editable template files.

  • Upload purchased templates to marketplaces, template libraries, or other platforms for redistribution.

  • Claim authorship or ownership of Carbon Source's original template designs.

  • Sell purchased templates as standalone products or as part of another editable template bundle.

  • Make purchased source files publicly available or provide unrestricted access to them.

  • Use our products in any manner that infringes third-party rights or violates applicable law.

Purchasing a digital product does not transfer ownership of the underlying intellectual property.

Any rights not expressly granted remain reserved by Carbon Source or the applicable rights holder.

5. Intellectual Property

All original website content, branding, graphics, template designs, digital assets, written materials, and other creative works produced and owned by Carbon Source are protected by applicable intellectual property laws.

Except as expressly permitted under an applicable license or written agreement, you may not reproduce, distribute, modify for redistribution, or commercially exploit our intellectual property without prior written authorization.

Third-party fonts, photographs, illustrations, and other incorporated assets may be subject to separate licenses.

Where applicable, customers are responsible for obtaining any additional licenses required for their intended use.

Our templates are not represented as exclusive designs, and purchasing a template does not grant exclusive rights to its layout or visual style.

6. Refunds and Cancellations

Digital Products

Because digital products are delivered electronically and may be accessed immediately, purchases of downloadable digital products are generally considered final once access has been provided, except where refunds or other remedies are required by applicable law.

We may consider refund requests involving:

  • Duplicate purchases

  • Technical issues that prevent access to purchased files and cannot reasonably be resolved

  • Material differences between the delivered product and its advertised description

  • Other circumstances where a refund or remedy is required by law

Refund requests should be submitted to [INSERT SUPPORT EMAIL] with the order number and a description of the issue.

Nothing in this policy limits any non-waivable consumer rights or legal remedies.

Professional Services

Deposits, cancellations, project termination, and refunds for consulting or creative services are governed by the applicable proposal, invoice, statement of work, or signed service agreement.

7. Pricing and Payments

All prices are displayed in U.S. dollars unless otherwise specified.

Payment is required before access to digital products is granted, unless an alternative payment arrangement is expressly provided.

Payments are processed through authorized third-party payment providers.

Applicable taxes, fees, or other charges will be disclosed during checkout as required by law.

We reserve the right to change prices, introduce promotional offers, or discontinue products at any time. Price changes will not retroactively affect completed purchases.

8. Professional Consulting and Creative Services

Carbon Source provides consulting, brand strategy, design, and marketing services through individually agreed project scopes and ongoing service arrangements.

Specific deliverables, timelines, fees, payment schedules, revisions, intellectual property ownership, and other project requirements will be established in a separate written proposal, statement of work, invoice, or service agreement.

Unless otherwise agreed in writing:

  • Project timelines are estimates and may depend on timely client feedback and approvals.

  • Clients are responsible for providing accurate project information and materials they have the right to use.

  • Work outside an agreed project scope may require additional fees.

  • Marketing, advertising, search rankings, audience growth, and revenue results are not guaranteed.

  • Ownership and usage rights in custom deliverables are determined by the applicable project agreement.

Where a separate signed agreement conflicts with these Terms regarding professional services, that agreement will control to the extent of the conflict.

9. Product Updates and Availability

We may update, modify, replace, or discontinue digital products and website offerings.

Unless expressly included in the product description, a purchase does not guarantee lifetime updates, ongoing support, or perpetual access to a particular download platform.

Customers are encouraged to download and securely retain copies of purchased files where downloads are permitted.

Any product-specific update or support commitments disclosed at purchase will be honored according to their terms and applicable law.

10. Third-Party Software and Services

Certain digital products may require third-party platforms, applications, or software to access, edit, export, or publish the files.

These may include Figma, Wix, email marketing platforms, or other creative tools.

Carbon Source is not affiliated with or endorsed by these providers unless expressly stated.

We are not responsible for changes to third-party software, pricing, availability, functionality, or terms of service.

Customers are responsible for ensuring compatibility with their intended software and workflow before purchasing.

  • Respect intellectual property rights.

  • Refrain from attempting unauthorized access to our website or systems.

  • Avoid distributing malicious software or interfering with website functionality.

  • Comply with applicable laws and regulations.

12. No Guarantee of Results

Carbon Source creates digital assets and provides professional services intended to support branding, marketing, and creative workflows.

However, we do not guarantee particular business outcomes, including increased revenue, customer acquisition, engagement, conversion rates, or marketing performance.

Results depend on factors beyond our control, including implementation, market conditions, customer behavior, and individual business circumstances.

13. Disclaimer of Warranties

To the extent permitted by applicable law, our website and digital products are provided on an "as available" and "as is" basis, except for any express commitments or warranties stated in the applicable product description or agreement.

We do not warrant that our website or products will be uninterrupted, error-free, or compatible with every third-party application.

Nothing in these Terms excludes warranties, guarantees, or remedies that cannot lawfully be excluded.

14. Limitation of Liability

To the maximum extent permitted by applicable law, Carbon Source will not be liable for indirect, incidental, special, consequential, or punitive damages arising from use of our website or digital products, including lost profits, lost business opportunities, or loss of data.

For claims relating to a purchased digital product, our aggregate liability will not exceed the amount paid for the product giving rise to the claim, except where applicable law prohibits such a limitation.

For professional services, applicable limitations of liability will be governed by the relevant service agreement.

Nothing in these Terms limits liability that cannot legally be limited or excluded.

15. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless Carbon Source from third-party claims, damages, liabilities, and reasonable expenses arising from your unlawful use of our products, infringement of third-party rights, or material violation of these Terms.

This provision does not apply to the extent a claim results from Carbon Source's own wrongful conduct or where prohibited by law.

16. Privacy

Your use of our website is also subject to our Privacy Policy, which explains how we collect, use, and protect personal information.

18. Governing Law

These Terms are governed by the laws of the State of Utah, United States, without regard to conflict-of-law principles, except where mandatory consumer protection laws require otherwise.

Any disputes will be handled in accordance with applicable law and any enforceable dispute-resolution agreement between the parties.

19. Severability
